DJ Karoo Energy Plc Issue of Equity and Total Voting Rights

Karoo Energy plc announces that it has placed 6,666,666 ordinary shares of 
0.25p each in the Company at a price of 3p per share, raising GBP200,000. The 
funds will be used for ongoing administrative expenses, and advancing its 
opportunities in Botswana through Equatorial Oil and Gas plc, the Company's 
93.475% owned subsidiary. 
The new ordinary shares rank pari passu with the existing ordinary shares. 
Following this placing there are now 186,829,828 ordinary shares in issue, of 
which the directors are interested in a total of 8,194,212 ordinary shares, 
representing 4.39% of the Company's issued share capital. 
                              TOTAL VOTING RIGHTS 
In accordance with the Financial Conduct Authority's Disclosure and 
Transparency Rules, the Company hereby announces that it has 186,829,828 
ordinary shares of 0.25p each in issue, each share carrying the right to one 
vote. The Company does not hold any ordinary shares in treasury. 
The above figure of 186,829,828 ordinary shares may be used by shareholders in 
the Company as the denominator for the calculations by which they will 
determine if they are required to notify their interest in, or a change to 
their interest in, the share capital of the Company under the Financial Conduct 
Authority's Disclosure and Transparency Rules.
